Terms of Use

Last updated: September 28, 2026

Important: These Terms are a business draft written to protect WAKAPAY. They are not a substitute for advice from a lawyer licensed in Cameroon, the UAE, or other markets where you operate. Have counsel review and adapt them before treating them as final.

1. Agreement

These Terms of Use (“Terms”) govern access to and use of WAKAPAY websites, dashboards, APIs, checkout pages, product links, invoices, storefronts, bookings, and related services (collectively, the “Service”), operated by WAKAPAY (“WAKAPAY”, “we”, “us”, or “our”), with principal place of business in Douala, Cameroon. Contact: info@wakapay.cash.

By creating an account, connecting a wallet, generating a payment link, accepting a payment, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes that entity.

2. What WAKAPAY is (and is not)

WAKAPAY provides software that helps sellers (creators, freelancers, merchants, and businesses) monetize globally: product links, invoices, storefronts, bookings, and checkout status tools.

  • Crypto checkouts: Where enabled, payments may settle on-chain from a payer to a wallet you control. WAKAPAY is designed as a non-custodial verification and invoicing layer for those flows — we do not take custody of your crypto balances.
  • Fiat checkouts: Where enabled, payments may be processed through third-party payment providers or local rails. Those providers may impose their own fees, rules, delays, and KYC requirements.

WAKAPAY is not a bank, money transmitter in every jurisdiction, custodian, escrow agent, insurer, marketplace guarantor, or party to the underlying sale between you and your customers unless we expressly agree in a signed writing.

3. Eligibility and accounts

You must be legally able to enter a binding contract in your jurisdiction and meet any age or licensing requirements that apply to your business. You are responsible for accurate account information, securing credentials and wallets, and all activity under your account.

We may refuse, suspend, limit, or terminate access at any time — including for risk, compliance, fraud suspicion, chargeback exposure, prohibited use, unpaid fees, or abuse of the Service — with or without prior notice where permitted by law.

4. Your responsibilities as a seller

You alone are responsible for:

  • The legality, quality, delivery, refunds, and support of anything you sell or offer;
  • Taxes, reporting, invoicing duties, and consumer-law obligations in every market you sell into;
  • Disputes with buyers, including refunds, chargebacks, and chargeback-like claims on fiat rails;
  • Verifying that funds you receive are from legitimate sources and that your use complies with sanctions and anti-money-laundering rules;
  • Correct wallet addresses, fiat payout details, and configuration of your checkout options;
  • Content you publish (links, product pages, invoices) and any claims you make to customers.

Crypto transactions are generally irreversible. Mistaken sends, wrong networks, phishing, or compromised wallets are your risk. Fiat reversals and provider holds are governed by the relevant provider — not by WAKAPAY as a guarantor of funds.

5. Fees and billing

Fees are described on our Pricing page and in-product and may change with notice posted on the Service or by email.

  • Crypto: WAKAPAY charges 0% platform transaction fee on supported crypto checkouts, subject to network/gas fees paid by the relevant party. A subscription (e.g. USD 29/month after USD 500 USDC/USDT volume, first month free where offered) may apply as published.
  • Fiat: WAKAPAY charges a flat fee (e.g. USD 1 per fiat checkout) plus any fees charged by payment providers or operators, which are outside our control.

You authorize us (and our processors) to invoice, debit, or otherwise collect fees you owe. Unpaid amounts may result in suspension. Fees are non-refundable except where we are legally required to refund or we expressly agree in writing.

6. Compliance, KYC/AML, and monitoring

We may request identity, business, and source-of-funds information, screen wallets or transactions, delay or refuse settlement confirmation features, and share information with providers, auditors, or authorities when we believe it is required or appropriate for fraud prevention, sanctions compliance, or legal process.

Failure to cooperate may result in immediate suspension. We have no obligation to process activity we deem high-risk or unlawful.

7. Prohibited uses

You may not use the Service for, or in connection with:

  • Illegal goods/services, fraud, scams, or misrepresentation;
  • Sanctions evasion, money laundering, terrorist financing, or proceeds of crime;
  • Adult content involving minors, exploitation, or other prohibited sexual content;
  • Weapons, illegal drugs, or other categories we designate as prohibited in our policies;
  • Infringement of IP, privacy, or publicity rights; malware; or attempts to disrupt or reverse engineer the Service except as allowed by law;
  • Creating accounts to evade bans, or scraping the Service without permission.

We may update prohibited categories. You must check current policies. We may remove content or disable checkouts without liability to you.

8. Intellectual property

The Service, branding, software, and documentation are owned by WAKAPAY or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms. You grant us a worldwide license to host, display, and process content you upload as needed to operate the Service and promote your public storefront pages you choose to publish.

9. Third-party services and chains

Blockchains, wallets, fiat providers, hosting, analytics, and other third parties are outside our control. Their outages, forks, fee spikes, freezes, chargebacks, or rule changes may affect you. Your use of third-party services is subject to their terms. We are not liable for third-party acts or omissions.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation, or that crypto or fiat payments will confirm within any timeframe, or that status indicators will be free of delay or error.

11. Limitation of liability

To the maximum extent permitted by law, WAKAPAY and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, or data; business interruption; or cost of substitute services — even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid to WAKAPAY for the Service in the three (3) months before the claim or (b) USD 100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnity

You will defend, indemnify, and hold harmless WAKAPAY and its affiliates and personnel from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your products or services; your content; your buyers or disputes; your violation of law or these Terms; your tax obligations; wallet or payout errors; or your misuse of the Service.

13. Suspension, termination, and survival

You may stop using the Service at any time. We may suspend or terminate access immediately for breach, risk, legal reasons, or inactivity. Sections that by nature should survive (including fees owed, disclaimers, limitations, indemnity, and dispute terms) survive termination.

14. Changes to the Service or Terms

We may modify the Service and these Terms. Material changes will be indicated by updating the “Last updated” date and, where appropriate, additional notice. Continued use after changes become effective constitutes acceptance. If you disagree, stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Cameroon, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence cannot be waived.

Before filing a claim, you agree to contact us at info@wakapay.cash and attempt informal resolution for 30 days. Subject to mandatory law, exclusive venue for disputes is the competent courts of Douala, Cameroon. You waive class, collective, or representative actions to the extent waivable.

16. General

These Terms are the entire agreement regarding the Service and supersede prior understandings on the same subject. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, or sale of assets. Notices may be sent to your account email or posted on the Service.
